Welcome to Navigate, LLC (“Company,” “we,” “our,” “us”). These Terms & Conditions (“Terms”) govern your use of our managed IT services, support, and related solutions (“Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, you must discontinue use immediately.
1. Services
- We      provide managed IT support, monitoring, cybersecurity, backup, and related      professional services as outlined in our service agreements.
 - Service      availability, response times, and deliverables are governed by applicable      Service Level Agreements (SLAs).
 
2. Acceptable Use
- You      agree not to use our Services for unlawful, malicious, or unauthorized      activities.
 - You      are responsible for maintaining the confidentiality of your accounts,      passwords, and data.
 
3. Fees & Payment
- Fees      are billed as specified in your service agreement or proposal.
 - Late      payments may result in service suspension or termination.
 
4. Confidentiality & Data
- We      handle client data with strict confidentiality and apply industry-standard      security practices.
 - We are      not liable for data loss beyond the scope of agreed backup/continuity      services.
 
5. Third-Party Services
- Our      Services may integrate with third-party software, cloud platforms, or      vendors. We are not responsible for their performance, outages, or terms.
 
6. Warranties & Disclaimers
- Services      are provided on an “as is” and “as available” basis.
 - We      disclaim all implied warranties, including fitness for a particular      purpose and non-infringement.
 
7. Limitation of Liability
- Our      liability is limited to the fees paid in the past 12 months for the      specific service giving rise to a claim.
 - We are      not liable for indirect, incidental, or consequential damages.
 
8. Termination
- Either      party may terminate services per the agreed contract terms.
 - Upon      termination, all unpaid fees remain due, and access to services will      cease.
 
9. Governing Law
- These      Terms are governed by the laws of Jefferson County, Kentucky.
 - Disputes      shall be resolved in the courts of Jefferson County, Kentucky.
 
Disclosure & Consent Statement
By engaging with Navigate, LLC and using our Services, you acknowledge and consent to the following:
- Data      Handling – We may collect, process, and store your business and      personal data as necessary to deliver IT services, comply with legal      obligations, and improve performance.
 - Remote      Access – You authorize us to remotely access systems and networks as      required for support, monitoring, and troubleshooting.
 - Third-Party      Providers – You consent to the use of trusted third-party vendors      (e.g., cloud providers, software tools) that may process your data under      their own security and privacy policies.
 - Monitoring      & Logging – You acknowledge that monitoring, logging, and auditing      may be conducted to ensure system security, compliance, and service      quality.
 - Security      Limitations – While we employ industry best practices, no system is      100% secure. You accept residual risks inherent in technology services.
 - Client      Responsibility – You are responsible for enforcing internal policies,      user compliance, and safeguarding credentials.
 - Consent      Withdrawal – You may withdraw consent to data handling at any time,      subject to contractual obligations and applicable laws.
 
By continuing to use our Services, you signify your agreement to these terms, disclosures, and consents.
